ROLE MAIN PURPOSE

will be responsible to provide operational expertise for administrative support to the Board and managing board-related processes and documentation.

 

KEY ACTIVITIES

FUNCTIONAL RESPONSIBILITIES

  • Facilitate board meetings, committee meetings, and related activities, including scheduling, logistics, and preparation of meeting materials.
  • Draft meeting agendas, minutes, and resolutions, ensuring accuracy, completeness, and adherence to legal and regulatory requirements.
  • Coordinate with board members, executive leadership, and committee chairs to gather and compile materials for board and committee meetings.
  • Develop accurate and up-to-date records and documentation related to board activities, decisions, and resolutions.
  • Assist in the development and implementation of board policies, procedures, and best practices to enhance governance effectiveness.
  • Support to facilitate the orientation of board members, ensuring they have the necessary information and resources to fulfil their duties and responsibilities. 
  • Ensure compliance with relevant laws, regulations, and reporting requirements, including those related to corporate governance, board operations, and shareholder communications.
  • Assist in the preparation and filing of required legal and regulatory documents, such as annual reports, proxy statements, and disclosures.
  • Implement processes and controls to safeguard confidential board information and ensure appropriate access and distribution.
  • Support to manage the onboarding and offboarding processes for board members, including orientation, logistics, and access to relevant information and systems.

 

Educational Qualifications: Bachelor's degree in Business Administration, Corporate Governance, Law, or a related field. A master's degree or relevant certification is a plus.

 

Professional and Technical Certificates (Preferred): Certified Executive Assistant (CEA) 

 

Professional Experience: • Minimum 5+ years' experience in high-level support to BOD and executives, preferably in a similar organization with similar operations.
